It is expressedly forbidden to remove any images or copy from this site by means of screen capture, copy, download or any other means both electronic and otherwise without the expressed permission of Jeremy Frasier.

Upon separation from a client, any hosted sites will be made available to access/remove after any remaining balances are paid in full. Once payment is received, files will be made available by electronic download ONLY! At such a time, the client has 2 weeks to removed files, before the server is re-assigned to another domain.

All search engine statistical and/or analytical information is proprietary information. Upon request, as a courtesy, a web site statistic overview will be emailed once a month to the associated client. This is a courtesy, FSCproductions.net, Inc and/or Jeremy Frasier reserves the right to deny the reports delivery if so deemed necessary to maintain any possible trade secrets or techniques.

File Transfer Protocol (FTP)
As a courtesy, FSCproductions.net,Inc. offers FTP services to clients. This allows them to efficiently upload and project related files. As such, FSCproductions.net,Inc and Jeremy Frasier respectively are not responsible for the loss of data during any seen or unseen event during or after the transfer.

SEO Tools Terms of Use
As a hosting client of our managed servers, you have the ability to take advantage of specific SEO tools such as the XML sitemap generator, and the database driven site search. These tools are accessible to active hosting clients only. If the client decides to move their site from our managed servers, these specific tools are non-transferrable, and will be removed from the sites directory.

General Non-Disclosure Agreement
The contact agent and/or successors, partners, and affiliates (Promisor(s)) being privy to FSCproductions.net,Inc. trade secrets, that are proprietary and confidential hereby warrants, represents, covenants, and agrees as follows:

1. Engagement - Promisor, in the course of engagement by FSCproductions.net,Inc. may or will have access to or learn certain information belonging to FSCproductions.net,Inc. that is proprietary and confidential. (Confidential Information).

Web Development Terms of Use
FSCproductions.net,Inc. retains all copyright of any and all website designs developed by FSCproductions.net,Inc. No files, code or other media related to websites developed by FSCproductions.net,Inc. can be downloaded, copied or transferred in digital or any other format until final payment is received for services rendered.

As a courtesy, FSCproductions.net may provide local FTP access to subfolders to the client, but root FTP access by the client until payment is received is strictly forbidden.

Website Design Terms
All websites designed by FSCproductions.net,Inc must display visible credits below page. Accepted credits include [1] website designed by: [2] website powered by: proceeded by FSCproductions.net,Inc.

*Credits will not be removed without prior arrangement with FSCproductions.net, Inc. At such time a documented, and signed agreement will be provided to the client. Under no other circumstance is the credit to be removed while the website is using said design for their website.

Payment Terms
Upon delivery of the invoice for billable hours and/or hosting fees, clients have 7-14 days to deliver payment. FSCproductions.net,Inc. reserves the right to assess late fees when appropriate.
Standard Late Fee: $125 assigned bi-monthly until the balance is settled.

Website deactivation due to non-payment
Due to associated fees, annual hosting fees are due no later then 30 days past the invoice date. FSCproductions is not responsible for any loss of SSL certificates, loss of email, or site functionality that is the result of deactivation due to non-payment. FSCproductions reserves the right to deactivate a hosted site if hosting fees have not been settled on, or before the 30 day deadline. Upon deactivation, a $125 reactivation fee will be assessed to the invoice, and must be paid before the site is reactivated.In short, pay your bills.

Zero Tolerance for unprofessional behavior
All associates of FSCproductions.net,Inc. pride themselves on courteous and professional interaction with our clients, as such, FSCproductions.net,Inc. and its associates have a zero tolerance for abusive or unprofessional language, or interaction. Therefor, we reserve the right to refuse service, or sever ties with any client or representative that is either verbally, or in action, abusive to any associate employed or retained by FSCproductions.net,Inc.

Separation Terms
If a client decides to move their files to a another server, to be managed by another developer, all client related files and databases will be made available in a timely manner. The client will be given access information, and has no longer then 2 weeks (14 days) to retrieve their files and related information, unless other arrangements have been previously made, and verified in writing.

Downpayment
Upon acceptance of a project outline, the initial downpayment is non-refundable after the delivery of first round of mock-ups or representations of a design. Although under no obligation to do so, FSCproductions.net,Inc. reserves the option to refund a percentage of money, upon calculation of development hours/ deliverables.

Third Party Applications
FSCproductions.net,Inc. takes advantages of Third Pary Applications (ie: ZenCart, WordPress, Magento) to take advantage of applications such as blogs, and ecommerce applications. As such, FSCproductions.net,Inc. does not provide a warranty on these programs nor do we accept, expressed or implied, any responsibility for these applications functionality do to programming issues in the default installation of these applications.

2. Definition of Confidential Information - Confidential Information as used throughout this agreement means any secret or proprietary information relating directly to FSCproductions.net,Inc. business and that FSCproductions.net,Inc. affiliated companies and subsidiaries, including, but not limited to, products, customer lists, pricing policies, employment records and policies, operational methods, marketing plans and strategies, product development techniques or plans, business plans, new personnel acquisition plans, methods of manufacture, technical processes, designs and design projects, inventions and research programs, trade "know-how" trade secrets, specific software, algorithims, computer processing systems, object and source codes, user manuals, systems documentation, and other business affairs of FSCproductions.net,Inc. and FSCproductions.net,Inc affiliated companies and subsidiaries.

3. Nondisclosure- Promisor agrees to keep strictly confidential all Confidential Information to any third person, firm, corporation, or association for any purpose. Promisor furhter agrees to no make any copies of the Confidential Information except upon FSCproductions.net,Inc written authorization, signed by one of FSCproductions.net,Inc. authorized officers, and will not remove any copy or sample of Confidential Information from the premises of FSCproductions.net,Inc, or Web Site, without authorization.

4. Return of Material - Upon receipt of written request from FSCproductions.net,Inc. Promisor will return to FSCproductions.net,Inc all copies or samples of Confidential Information that, at the time of receipt of the notice, are in Promisor's possession.

5. Obligations Continue Past Term - The obligations imposed on Promisor shall continue with respect to each unit of the Confidential Information following the termination of the business relationship between Promisor and FSCproductions.net,Inc. and such obligations shall not terminate until such unit shall cease to be secret and confidential and shall be in the public domain, unless such even shall have occurred as a result of wrongful conduct by Promisor or Promisor's agents, servants, officers, or employees or a breach of the covenants set forth in this Agreement.

6. Equitable Relief - Promisor acknowledges and agrees that a breach of the provisions of Paragraph 3 or 4 of this Agreement would cause FSCproductions.net,Inc to suffer irreparable damage that could not be adequately remedied by an action at law. Accordingly, Promisor agrees that FSCproductions.net,Inc. shall have the right to seek performance of the provisions of Paragraph 3 to enjoin a breach or attempted breach of the provisions thereof, such right being in addition to all other rights and remedies that are available to FSCproductions.net,Inc at law, in equity, or otherwise.
